YOPARTS NISSAN R35 GT-R SUPERCAR PERFORMANCE CONTEST
OFFICIAL RULES
1. ELIGIBILITY: The YoParts Nissan R35 GT-R Supercar Performance Contest (“Contest”) is open to all individual members of YoParts, LLC (“Sponsor”) who are, at the time of entry, current in their membership, legal residents of the 50 United States of America, the District of Columbia and Canada (excluding Quebec), and age 16 years or older (“Contestants”). Contestants under the legal age of majority in their place of residence at the time of entry may only enter under the supervision of a parent or legal guardian. Employees, directors, and officers, and their immediate family members or those living in the same households, whether or not related, of Sponsor and its parents, affiliates, contractors (including, without limitation, CarDomain Network, Inc.), vendors, attorneys, professional drivers and teams selected for the Contest, race tracks and other test venues selected for the Contest, agents, and judges (collectively, “Contest Entities”) are not eligible to enter or win. Void wherever prohibited or restricted by law. Contestants’ participation is subject to all applicable federal, state, provincial, and local laws, rules, regulations, and ordinances (collectively “Laws”). Each Contestant or Contestant’s parent or legal guardian (if applicable) warrants that s/he is eligible to participate in the Contest, and agrees to comply with these Official Rules. Sponsor reserves the right to verify the eligibility of any Contestant.
2. CONTEST Entry and Rules: A. The Contest tests the ability of Contestants to correctly calculate the performance of a Nissan R35 GT-R supercar in five performance categories. To participate, Contestants must log into their member accounts at the YoParts website, http://www.yoparts.com/ (“YoParts Site”). Contestants can log in and/or create new member accounts at the YoParts Site, and/or access the YoParts contest website, www.yoparts.com/GTR (“Contest Website”) at any time up to the Contest End Date, but the required entry form will not be made available on the Contest Website, and entries will not be accepted, until 12:00 a.m. Eastern Time (ET) on March 1, 2010 (“Contest Start Date”). The entry form must be completed and submitted online by 11:59 p.m. ET on March 15, 2010 (“Contest End Date”). The entry form will consist of the following: member name, member address, member assigned number, member phone number, member email address, and boxes where member must submit answers for the tests described further in these Official Rules. Limit one entry per member. No mailed entries will be accepted.
B. Before the Contest Start Date, at dates and times selected by the Sponsor, one or more professional drivers and their teams and professional dynometer operators selected by Sponsor will conduct five baseline performance tests (“Baseline Tests”) of the stock Nissan R35 GT-R. Three Baseline Tests will consist of timed trials, timed to one one-hundredth (1/100) second, based in each case on an average of three timed trials per test, consisting of the following: (1) 1/4 mile time (“Test 1”); (2) 1/4 mile trap speed (“Test 2”), and (3) road course race time around a race track (“Test 3”) at a distance to be selected by the Sponsor. Test 1 is a drag race in which the vehicle will be timed from a standing start in a straight line for the distance of ¼ mile. Test 2 will consist of the actual speed of the vehicle at the time that it reaches the ¼ mile mark on the race track. Test 3 will measure the amount of time that it takes for the vehicle to race around the race track from a designated standing start location. Tests 1, 2 and 3 will be conducted by one or more professional drivers and their teams. The fourth Baseline Test (“Test 4”) will consist of one dynometer horsepower (hp) test, which will be evaluated to the closest one tenth (1/10) hp. The fifth Baseline Test (“Test 5”) will consist of one dynometer torque test, which will be evaluated to the closest one tenth (1/10) torque. The dynometer is a device that measures the horsepower and torque of a vehicle. Baseline Tests 4 and 5 will be conducted by one or more professionals with expertise in the operation of a dynometer machine.
C. After the five Baseline Tests are completed, the following information will be posted on the Contest Website and on the YoParts profile page on streetfire.net at http://user.streetfire.net/profile/Yoparts.htm until the Contest End Date: dates, locations, and racing conditions (including, without limitation, temperature and weather conditions) for Baseline Test 1, Baseline Test 2, and Baseline Test 3; race track distance for Baseline Test 3; dates and locations for Baseline Test 4 and Baseline Test 5; and the Baseline Test results.
D. Before the Contest Start Date, beginning on or about December 1, 2009 and ending no later than February 28, 2010, the stock Nissan R35 GT-R will be modified into the Nissan R35 GT-R supercar by installing and/or changing stock parts with parts available from YoParts.com. Contestants may watch the installation of parts that will transform the stock Nissan R35 GT-R into the Nissan R35 GT-R supercar on the Contest Website and at http://user.streetfire.net/profile/Yoparts.htm. Installation of parts will occur at vendor facilities, or such other locations identified by Sponsor. Parts will be identified at the Contest Website and http://user.streetfire.net/profile/Yoparts.htm, and Contestants can research part specifications at www.yoparts.com.
E. Contestants can submit entries online by completing the Contest entry form beginning on the Contest Start Date up to the Contest End Date. Contestants must use their knowledge and experience, as well as information on the Baseline Tests, parts installed, parts specification information researched by Contestant, and racing conditions made available by Sponsor to calculate the performance of the Nissan R35 GT-R supercar in each of the five performance categories described in (B) above.
F. After the Contest End Date, during the period from about March 20, 2010 to April 15, 2010, one or more professional drivers and their teams and professional dynometer operators selected by Sponsor will conduct five performance tests (“Contest Performance Tests”) of the Nissan R35 GT-R supercar consisting of tests identical to the five Baseline Tests described in (B) above. The Contest Performance Tests will be conducted on date(s) selected by Sponsor at its sole discretion and announced at the Contest Website. Contest Performance Tests 1, 2 and 3 will be conducted at the same race tracks (unless any such track is unavailable due to an event beyond Sponsor’s reasonable control) and under similar racing conditions as the Baseline Tests. For Contest Performance Tests 1, 2, and 3, the drivers and teams will select race dates and times so as to minimize temperature variations to within five (5) degrees of the temperature(s) existing during Baseline Tests 1, 2 and 3. Contest Performance Tests 4 and 5 will be conducted using the identical dynometer(s) used for Baseline Tests 4 and 5 (unless any such equipment is unavailable due to an event beyond Sponsor’s reasonable control).
G. All Contest entries become the property of Sponsor and will not be acknowledged or returned. Limit one Contest entry per person. If additional Contest entries are received, only the Contest entry received earliest will be considered. No mechanical reproductions, incomplete, altered, or substitute entries will be accepted. All entries must be made in the name of an individual, and the Prize will only be awarded to the individual member whose name appears on the winning entry or his or her parent or legal guardian in the event winner is not of the legal age of majority in his/her state of residence at the time of entry. Sponsor reserves the right to disqualify any entry at any time if Sponsor determines, in its sole discretion, that the Contestant is not a YoParts member or is otherwise ineligible, or entry does not comply with, and/or the Contestant or Contestant’s parent or legal guardian has not complied with, these Official Rules in any respect whatsoever.
3. PRIZE: One (1) Grand Prize Winner will receive the 2009 Nissan R35 GT-R supercar as equipped and modified with parts available from YoParts.com, as well as all stock parts that were initially incorporated into the stock Nissan R35 GT-R that may have been removed during the modification (“Prize”). Estimated retail value: eighty thousand dollars ($80,000). Sponsor reserves the right to substitute a prize of equal or greater value. No other substitution or transfer of the Prize or cash redemption is permitted. Sponsor is only responsible for Prize delivery, and is not responsible for Prize utility, quality, or otherwise. Winner shall be solely responsible for all fees, costs, taxes and expenses associated with the Contest and the Prize, including without limitation: transport of the Prize to a location specified by the winner; car tags, license, registration, insurance, fuel, and maintenance; modifications to meet emissions control requirements in Winner’s place of residence; driver’s license; federal, state, local income, personal property, transfer or other taxes; cost and fees of obtaining tax advice; and any damage to property or persons incurred while using or possessing the Prize. If Winner is a minor in his/her place of residence, Sponsor reserves the right to award the Prize in the name of a parent or legal guardian, who will be responsible for fulfilling all requirements herein imposed on the Winner. Grand Prize awarded “AS IS” with no warranty or guarantee, either express or implied, by Sponsor. Winner is solely responsible for the reporting and payment of all taxes (if any), as well as any other cost and expense associated with acceptance and use of a prize not otherwise specified herein as being awarded.
4. WINNER. Contestants must submit their calculations for each of the five Contest Performance Tests in boxes provided in the online Contest entry form. For each Contestant and each of the five Contest Performance Tests, the Sponsor will calculate the absolute difference between the Sponsor’s actual Contest Performance Test result and the Contestant’s calculation (“Performance Differences”). For each Contestant, the five Performance Differences will be combined as an aggregate variance (“Contest Performance Difference”). The Contestant with the lowest aggregate Contest Performance Difference will be selected as the potential grand prize winner (“Potential Winner”). Sponsor’s race times and dynometer test results are the sole and exclusive official times and results on which the Contest will be judged. In the event of a tie, Contestants who submitted the identical aggregate Contest Performance Difference closest to Sponsor’s official results will be notified via-e-mail sent to the e-mail address used for Contestant’s YoParts membership, and their submissions will be submitted to a panel of independent judges (“Judges”). Among such tied Contestants, the individual who submitted a result for Test 4 that is the absolute closest to the actual result for Test 4 will be declared the Potential Winner. In the event of a tie between any other such remaining tied Contestants, the individual who submitted a result for Test 5 that is the absolute closest to the actual result for Test 5 will be declared the Potential Winner. If a tie persists, then the Judges will continue the process and compare the results submitted by any remaining tied Contestants for Test 3 to determine the Potential Winner, and in the event of another tie, the results for Test 2 will be compared. The decisions of the Sponsor and Judges will be final and binding in all matters.
5. NOTIFICATION AND VERIFICATION OF WINNERS. The Potential Winner will be notified by U.S. mail, e-mail, or telephone on or around April 19, 2010. If the Prize notification is returned as undeliverable, Sponsor cannot contact the Potential Winner within fourteen (14) days of the initial attempt for any reason, the Potential Winner declines the Prize, or the Potential Winner or his/her parent or legal guardian fails to comply with these Official Rules, then the Prize will be forfeited and an alternate Potential Winner selected as set forth in these Official Rules. Potential Winners, and the parent or legal guardian of a Potential Winner if Potential Winner has not reached the age of majority in his or her legal residence, will be required to complete and sign an affidavit of eligibility, liability and publicity release. If signed affidavits and releases are not received by Sponsor within fourteen (14) days, or returned as undeliverable, then an alternate Potential Winner will be selected. The Winner will be declared pending verification of eligibility and compliance with these Official Rules.
6. GENERAL: Contest Entities are not responsible for misdirected, delayed, incomplete, inaccurate, lost, late, illegible, damaged or undeliverable entries, technical, hardware, or software failures of any kind, lost or unavailable network connections, or failed, incomplete, garbled or delayed computer transmissions, or other errors, omissions, interruptions or problems which may limit or affect a Contestant’s ability to participate in the Contest, whether human, mechanical, typographical, printing, electronic, network or otherwise, relating to or in connection with the Contest, including, without limitation, errors which may occur in connection with the administration of the Contest, the processing or judging of entries, the announcement of a Prize or in any Contest-related materials. Further, Sponsor is not responsible for electronic communications which are undeliverable as a result of any form of active or passive filtering of any kind or insufficient space in Contestant’s e-mail account to receive e-mail messages. Sponsor disclaims any liability for damage to any computer system resulting from participation in, or accessing or downloading information in connection with, this Contest. In the event of fraud, sabotage, acts of God, terrorism, or threats thereof, technical failures, computer virus, damage to or loss of the stock Nissan R35 GT-R or Nissan R35 GT-R supercar during modification, testing, or transportation, or other events or causes beyond the Sponsor’s control, which impair the integrity, administration, security or proper operation of the Contest, Sponsor reserves the right, in its sole discretion, to modify, cancel or suspend the Contest (or a portion thereof). Contestants are responsible for all costs and expenses involved in accessing the Internet, obtaining or maintaining a YoParts membership, and otherwise participating in the Contest. Sponsor is not responsible for those who cannot access the Internet or the website for any period of time regardless of technical, hardware, software, telephone, Internet, virus contamination, or network problems, for delay, failure or malfunction for any reason. Contest Entities expressly disclaim any responsibility for, and Contestants shall indemnify, defend, and hold harmless the Contest Entities from and against, any and all claims, actions, demands, damages, judgments, and/or liability for injury, damage or loss whatsoever relating to or arising in connection with Contestant’s participation or inability to participate in this Contest, Contest Entities’ use of the stock Nissan R35 GT-R or Nissan R35 GT-R supercar, any entries and/or any Contestant’s subsequent use, inability to use, or misuse of any Prize. The Prize is provided “AS IS,” and Contest Entities make no representations or warranties regarding the Prize or use of the Prize, including without limitation warranties of merchantability, warranties of fitness for any particular purpose, or warranties as to whether the car will pass emissions or otherwise comply with applicable Laws, any such representations and warranties are expressly waived. All issues concerning the construction, validity and enforcement of these Official Rules, or the rights and obligations of the Contestants or Sponsor, shall be construed in accordance with and governed by the laws of the state of Georgia, without regard to conflicts of law. CarDomain Network, Inc., which owns and operates the streetfire.net website, is not a sponsor of the Contest.
7. CAUTION. ANY ATTEMPT BY A CONTESTANT OR ANY OTHER INDIVIDUAL OR PARTY TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO CANCEL OR SUSPEND THE CONTEST AND TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

Potential Winners, and the parent or legal guardian of a Potential Winner if Potential Winner has not reached the age of majority in his or her legal residence, will be required to complete and sign an affidavit of eligibility, liability and publicity release. If signed affidavits and releases are not received by Sponsor within fourteen (14) days, or returned as undeliverable, then an alternate Potential Winner will be selected. The Winner will be declared pending verification of eligibility and compliance with these Official Rules.
6. GENERAL: Contest Entities are not responsible for misdirected, delayed, incomplete, inaccurate, lost, late, illegible, damaged or undeliverable entries, technical, hardware, or software failures of any kind, lost or unavailable network connections, or failed, incomplete, garbled or delayed computer transmissions, or other errors, omissions, interruptions or problems which may limit or affect a Contestant’s ability to participate in the Contest, whether human, mechanical, typographical, printing, electronic, network or otherwise, relating to or in connection with the Contest, including, without limitation, errors which may occur in connection with the administration of the Contest, the processing or judging of entries, the announcement of a Prize or in any Contest-related materials. Further, Sponsor is not responsible for electronic communications which are undeliverable as a result of any form of active or passive filtering of any kind or insufficient space in Contestant’s e-mail account to receive e-mail messages. Sponsor disclaims any liability for damage to any computer system resulting from participation in, or accessing or downloading information in connection with, this Contest. In the event of fraud, sabotage, acts of God, terrorism, or threats thereof, technical failures, computer virus, damage to or loss of the stock Nissan R35 GT-R or Nissan R35 GT-R supercar during modification, testing, or transportation, or other events or causes beyond the Sponsor’s control, which impair the integrity, administration, security or proper operation of the Contest, Sponsor reserves the right, in its sole discretion, to modify, cancel or suspend the Contest (or a portion thereof). Contestants are responsible for all costs and expenses involved in accessing the Internet, obtaining or maintaining a YoParts membership, and otherwise participating in the Contest. Sponsor is not responsible for those who cannot access the Internet or the website for any period of time regardless of technical, hardware, software, telephone, Internet, virus contamination, or network problems, for delay, failure or malfunction for any reason. Contest Entities expressly disclaim any responsibility for, and Contestants shall indemnify, defend, and hold harmless the Contest Entities from and against, any and all claims, actions, demands, damages, judgments, and/or liability for injury, damage or loss whatsoever relating to or arising in connection with Contestant’s participation or inability to participate in this Contest, Contest Entities’ use of the stock Nissan R35 GT-R or Nissan R35 GT-R supercar, any entries and/or any Contestant’s subsequent use, inability to use, or misuse of any Prize. The Prize is provided “AS IS,” and Contest Entities make no representations or warranties regarding the Prize or use of the Prize, including without limitation warranties of merchantability, warranties of fitness for any particular purpose, or warranties as to whether the car will pass emissions or otherwise comply with applicable Laws, any such representations and warranties are expressly waived. All issues concerning the construction, validity and enforcement of these Official Rules, or the rights and obligations of the Contestants or Sponsor, shall be construed in accordance with and governed by the laws of the state of Georgia, without regard to conflicts of law. CarDomain Network, Inc., which owns and operates the streetfire.net website, is not a sponsor of the Contest.
7. CAUTION. ANY ATTEMPT BY A CONTESTANT OR ANY OTHER INDIVIDUAL OR PARTY TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO CANCEL OR SUSPEND THE CONTEST AND TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.
